What the companies say they signed
SOCAR’s November 5 announcement says it signed a definitive purchase and sale agreement with Comstock on November 4. The stated price is $1.65 billion before customary adjustments. Comstock’s own results release describes the same agreement and expects closing by year end, subject to conditions including any required government approvals.
This establishes a joint account of a signed agreement. It does not establish a completed transfer or payment. The buyer and seller have direct interests in the transaction; their matching statements should not be treated as an independent audit of its completion.

A later stage of the September plan
Comstock’s September 28 framework announcement described a commitment to negotiate a definitive agreement consistent with an earlier letter of intent. At that point, it anticipated signing by October 31 and closing by the end of 2026. The newly reported signing date is November 4.
Those dates trace stages of the same proposed investment. September’s announced amount should not be added to November’s price as if the companies had announced two separate purchases. The earlier release also discussed exploring international gas-marketing opportunities; it did not establish an agreed export programme or delivered sales.

The stake percentages need their denominators
The announcements describe non-operated interests: 20% of Comstock’s interest in one upstream portfolio, 15% of its interest in another, and 15% of its interest in a gas-services company. These are percentages of Comstock’s holdings, rather than a statement that SOCAR is buying those percentages of every underlying business in full.
They also describe a conditional reduction of the second upstream interest to 7.5%, after five years and after SOCAR has achieved a 15% investment return on those assets. Both conditions matter. That clause is not a guarantee that the return will be earned or that the reduction will occur solely because time has passed.

Effective date and closing date are different
Both current statements give July 1, 2026 as the transaction’s effective date. That precedes the reported signing and should not be read as evidence that ownership transfer or payment was completed in July. The closing process remains a separate milestone.
The documents describe a substantial cross-border investment still moving through stated conditions. Subsequent approval and closing information would establish whether it completes. Evidence of actual marketing agreements and sales would answer a different question from the acquisition announcement itself.

What remains uncertain
As of 5 November 2026. SOCAR and Comstock are the buyer and seller, not independent observers. Their statements support an attributed account of the agreement, not an independent transaction audit. The full contract, approval decisions, payment records and a closing notice were not inspected. September’s framework release supplies historical intentions; it is not evidence that later marketing plans were implemented. No shipment schedule, operating-site detail or guaranteed investment return is established.
